Terms of Service

1. Scope and Acceptance

These Terms of Service ("Terms") govern your access to and use of the services, applications, and APIs provided by New Way Capital Advisory Limited ("NWCA", "we", "us") through the domain nwc-advisory.com and associated subdomains.

By accessing or using our services, you agree to be bound by these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you must not access or use our services.

2. Description of Services

NWCA provides the following services through its platform:

2.1 Portfolio Consolidation

A self-service web application that allows users to upload portfolio statements from multiple custodian banks, parse and consolidate holdings, and generate unified portfolio reports. Available at /portfolio/consolidation.

2.2 Risk Analytics API

A real-time market risk scoring engine providing a composite risk score derived from multiple market signals, including volatility indicators, momentum signals, and machine learning ensemble models.

2.3 Stock Classification API

An equity classification service that scores individual stocks across multiple factors, providing transparent, explainable ratings with full audit trails.

2.4 News Sentiment API

A financial news analysis service that provides real-time sentiment scores for individual securities based on public news sources.

2.5 Portfolio Analyser

An interactive web application for portfolio risk analysis, look-through decomposition, fee analysis, and macro environment assessment.

2.6 MomentumFlow AI

An AI-powered stock screening application providing transparent, multi-factor scoring of equity securities.

3. Account Registration

Certain services require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your password confidential and not share access credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 months.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Use our services to violate any applicable law or regulation, including financial regulations in your jurisdiction
• Upload malicious files, code, or content designed to compromise our systems
• Attempt to gain unauthorized access to any part of our infrastructure, systems, or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Scrape, crawl, or use automated tools to extract data from our platform beyond normal API usage
• Reverse-engineer, decompile, or attempt to derive the source code of our proprietary algorithms
• Resell, sublicense, or redistribute our services or API outputs without written authorization
• Use our services to provide competing financial analytics services to third parties without our consent
• Misrepresent your identity or affiliation when using our services

5. API Fair Use Policy

Access to NWCA APIs is subject to the following fair use guidelines:

We reserve the right to throttle or temporarily suspend access for users who consistently exceed these limits. Sustained high-volume usage requires a written agreement.

6. Intellectual Property

All content, software, algorithms, models, designs, trademarks, and other intellectual property available through our services are the exclusive property of NWCA or its licensors and are protected by Swiss and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes, subject to these Terms. This license does not include the right to:

• Modify, adapt, or create derivative works based on our services
• Copy or redistribute our proprietary models, scoring methodologies, or algorithms
• Remove or alter any proprietary notices, labels, or marks on our services

6.1 Your Data

You retain all ownership rights in the data you upload to our platform (such as portfolio statements). By uploading data, you grant us a limited, temporary license to process that data solely for the purpose of delivering the requested service. We do not claim ownership of your uploaded data.

7. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, completeness, or reliability of any data, scores, ratings, or analysis generated by our services
• Warranties that our services will meet your specific requirements

Risk scores, stock classifications, sentiment analysis, and other outputs are generated by automated systems and should not be relied upon as the sole basis for investment decisions. You are solely responsible for your own investment and business decisions.

8. Limitation of Liability

To the maximum extent permitted by Swiss law:

• NWCA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or investment losses, arising out of or in connection with the use of our services.
• NWCA's total aggregate liability arising from or related to these Terms or the use of our services shall not exceed the greater of (a) the total fees you have paid to NWCA in the 12 months preceding the claim, or (b) CHF 1,000.
• These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable mandatory Swiss law.

9. Indemnification

You agree to indemnify and hold harmless NWCA, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of our services in violation of these Terms
• Your violation of any applicable law or regulation
• Any data or content you upload to our platform
• Your reliance on outputs from our services for investment or business decisions

10. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Modify, suspend, or discontinue any part of our services at any time, with or without notice
• Perform scheduled or emergency maintenance that may temporarily affect service availability
• Update APIs, data models, or scoring methodologies, which may affect outputs

We will make reasonable efforts to provide advance notice of significant changes that may affect your use of our services.

11. Termination

Either party may terminate the relationship at any time:

• You may stop using our services and request account deletion at any time by emailing info@nwc-advisory.com.
• We may suspend or terminate your access immediately if you breach these Terms, engage in abusive behavior, or if required by law.

Upon termination, your right to use our services ceases immediately. Any uploaded data will be deleted in accordance with our Data Processing Agreement. Sections 6, 7, 8, 9, 12, and 13 survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

13. Jurisdiction and Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the competent courts of Geneva, Switzerland.

Before initiating formal proceedings, the parties agree to attempt to resolve disputes amicably through good-faith negotiation within 30 days of written notice of the dispute.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Data Processing Agreement, and any written service agreements, constitute the entire agreement between you and NWCA with respect to the use of our services.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the revised Terms on this page with an updated effective date. Continued use of our services after the revised Terms are posted constitutes your acceptance of the changes.
